1. Agreement to Terms

By accessing or using PrompTick ("Service"), operated by Pragee Technologies LLP ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

PrompTick is a SaaS platform that provides AI prompt optimization, model benchmarking, testing frameworks, and related AI development tools. The Service includes:

• AI prompt creation, optimization, and version control
• Access to multiple AI models through unified API
• Testing and evaluation frameworks for prompts
• Collaboration and project management tools
• Analytics and usage tracking

3. User Accounts

3.1 Eligibility

You must be at least 13 years old to use the Service. By creating an account, you represent that you are at least 13 years of age. If you are under 18, you must have permission from a parent or legal guardian to use the Service.

3.2 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. The Service is available to both individual users and organizations.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us at tech@promptick.in of any unauthorized use of your account.

3.4 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in any fraudulent, abusive, or illegal activity.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Transmit malicious code, viruses, or other harmful materials
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal, harmful, or abusive purposes
• Generate content that is defamatory, obscene, or violates third-party rights
• Resell, redistribute, or provide access to the Service without authorization

5. AI Model Usage

The Service provides access to third-party AI models. You acknowledge that:

• AI model responses are generated by third-party providers and may not always be accurate or appropriate
• You are responsible for reviewing and validating all AI-generated content before use
• Third-party AI providers may have their own terms of service and usage policies
• Model availability, performance, and pricing may change without notice

6. Intellectual Property

6.1 Our IP

The Service and its original content, features, and functionality are owned by PrompTick and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content

You retain all rights to the prompts, data, and content you create using the Service ("Your Content"). By using the Service, you grant us a limited license to use Your Content solely to provide and improve the Service.

6.3 AI-Generated Content

Content generated by AI models through the Service is subject to the intellectual property terms of the respective AI model providers. You are responsible for ensuring your use of AI-generated content complies with applicable laws and third-party terms.

7. Payment and Subscription

7.1 Plans and Pricing

We offer both free and paid plans:

• Free Tier: Limited features and usage available at no cost
• Free Trial: 3-day trial period for paid plans to evaluate premium features
• Paid Plans: Monthly and annual subscription options with enhanced features and higher usage limits

Pricing is available on our pricing page and may be updated from time to time. We will notify you of any price changes in advance.

7.2 Payment Processing

We use third-party payment processors to handle transactions securely:

• Razorpay: For customers in India
• Stripe: For international customers

By providing payment information, you authorize us to charge the applicable fees to your payment method. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your chosen plan).

7.3 Refund Policy

We offer refunds for subscription fees if requested within 24 hours of payment. After 24 hours, subscription fees are non-refundable except as required by law. To request a refund, contact us at sajal@promptick.in.

7.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period. You will continue to have access to paid features until the end of the billing period. Your account will automatically revert to the free tier after cancellation.

8. Data and Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you agree to our privacy practices as described in the Privacy Policy.

We implement appropriate technical and organizational measures to protect your data, but no method of transmission over the Internet is 100% secure. You use the Service at your own risk.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any AI-generated content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAGEE TECHNOLOGIES LLP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or ₹10,000 (Indian Rupees Ten Thousand), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pragee Technologies LLP and its partners, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India. You agree to submit to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
